RWADEX Terms of Service

1. INTRODUCTION

RWADEX (“RWADEX,” “we,” or “our”) is a decentralized exchange operated by Tesseras Labs, S.A. These Terms of Service (“Terms”) govern your access to and use of RWADEX and any associated services (collectively, the “Services”). By accessing or using RWADEX, you agree to be bound by these Terms. If you do not agree, do not access or use RWADEX. RWADEX provides a non-custodial interface for trading tokenized real-world assets (“RWAs”). Smart contracts are deployed primarily on Base. Tokens minted as ERC-20 assets on Base can be bridged into NEP-141 tokens on NEAR Protocol. RWADEX connects with NEAR Intents, a decentralized transaction framework that allows solvers to compete to execute intents. NEAR Intents currently supports cross-chain swaps across networks such as Bitcoin, Ethereum, Solana, Binance Smart Chain, Stellar and Sui, with support for TRON and Zcash on the way. RWADEX may integrate with additional networks and solvers over time.

2. ELIGIBILITY AND JURISDICTION

  • Non-U.S. Use. RWADEX is intended for users who are not “U.S. Persons” under U.S. securities law. Access by U.S. Persons or users in jurisdictions where the Services are illegal is prohibited.
  • Age Requirement. You must be at least 18 years old and have the legal capacity to use RWADEX.
  • Compliance Obligations. You are responsible for ensuring that your use of RWADEX complies with all applicable laws, regulations and tax obligations in your jurisdiction.

3. WALLET CONNECTION AND SECURITY

  • RWADEX uses Privy for wallet connection. When you connect your wallet, only your public address is shared. RWADEX does not control your private keys and cannot recover lost keys or reverse transactions.
  • are solely responsible for maintaining the security of your wallet and devices. Transactions signed with your wallet are considered authorized by you.

4. SERVICES AND FUNCTIONALITY

  • Trading of RWA Tokens. RWADEX provides an interface for trading tokens representing real-world assets. All tokens listed are based on the ERC-3643 (T-REX) standard for compliant RWA tokenization. Tokens undergo due diligence and vetting before they are listed, but listing a token does not constitute an endorsement or guarantee of the underlying project.
  • NEAR Intents and Cross-Chain Execution. When you submit an order, NEAR Intents solvers compete to execute your intent. This framework abstracts away the choice of bridge or route and is designed to provide fast, secure cross-chain swaps. Supported networks include Bitcoin, Ethereum, Solana, Binance Smart Chain, Stellar and Sui; support for TRON and Zcash is coming soon. RWADEX does not operate these networks and is not responsible for their performance.
  • RWA NETWORKS. In the trade interface, “RWA NETWORKS” refers to the blockchain networks that RWADEX can connect with via NEAR Intents and other integrations. The list of supported networks may change over time.
  • Bridging of Tokens. ERC-20 tokens deployed on Base may be bridged to NEP-141 tokens on NEAR. Bridging is handled by external protocols, and RWADEX is not responsible for delays, losses or errors during bridging.
  • Compliance Responsibility & KYC. Some RWA tokens require investors to meet eligibility criteria. Issuers may appoint third-party RWA agents to handle know-your-customer (KYC), anti-money-laundering (AML) and sanctions screening. RWADEX provides the smart-contract infrastructure to enforce transfer restrictions but does not perform KYC itself. Each token issuer is responsible for ensuring compliance with applicable laws.

5. FEES

RWADEX may charge protocol fees or spreads on trades. You will also pay network transaction fees (“gas”) on the relevant blockchains and any fees charged by external bridges or service providers. Fees will be displayed before you confirm a transaction.

6. THIRD-PARTY SERVICES

RWADEX relies on third-party blockchains, bridge operators, oracles, identity-verification services and RWA agents. We do not control these services and are not responsible for their performance or availability. Your use of third-party services is subject to their own terms and policies.

7. INTELLECTUAL PROPERTY

All logos, trademarks, text, graphics and other content on RWADEX are owned by Tesseras or its licensors. You may not reproduce, modify or distribute any content without our prior written consent.

8. CHANGES AND UPDATES

We may modify these Terms at any time. Changes will be posted on the Site. By continuing to use RWADEX after changes take effect, you agree to the revised Terms. We may discontinue or change any part of RWADEX at any time without liability.

9. TERMINATION

We may suspend or terminate your access to RWADEX for any reason, including suspected violations of these Terms or applicable law. You may stop using RWADEX at any time by disconnecting your wallet.

10. LIMITATION OF LIABILITY

To the maximum extent permitted by law, Tesseras shall not be liable for any indirect, incidental, special or consequential damages arising out of or in connection with RWADEX. Our aggregate liability will not exceed the amount of fees you paid to RWADEX in the six months preceding the claim.

11. GOVERNING LAW

These Terms are governed by the laws of the Republic of Panama. Any dispute arising under these Terms shall be resolved exclusively by the courts located in Panama City, Panama.
